These Terms and Conditions ("Terms") govern your access to and use of the AppsCart platform, website (appscart.com), and related services (collectively, the "Service") operated by AppsCart ("AppsCart", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, clicking "Start Free Trial", or otherwise accessing the Service, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement, and agree to these Terms and our Privacy Policy.

If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and "you" refers to that organisation.

2. Description of Service

AppsCart provides a software-as-a-service (SaaS) platform that enables users to convert existing websites into native iOS and Android mobile applications ("Apps") through a no-code interface. The Service includes:

• An app builder dashboard for configuration and customisation
• Generation of Android APK/AAB and iOS IPA build files
• Pre-integrated third-party integrations (push notifications, analytics, etc.)
• Documentation, submission guides, and customer support

AppsCart does not submit apps to App Stores on your behalf unless explicitly stated in a specific service plan. You are responsible for maintaining your own developer accounts and complying with App Store guidelines.

3. Account Registration

To use the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your account credentials secure and not share them with third parties
• Notify us immediately of any unauthorised access to your account
• Be responsible for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that contain false information or that violate these Terms.

4. Subscriptions & Billing

4.1 Subscription Plans

The Service is offered on monthly or annual subscription plans. Pricing is displayed on our Pricing page and is subject to change with 30 days' notice. Continued use after a price change constitutes acceptance of the new price.

4.2 Payment

Subscriptions are billed in advance at the start of each billing period. Payment is processed by Stripe. You authorise AppsCart (via Stripe) to charge your payment method on a recurring basis. All fees are in USD unless otherwise stated.

4.3 Refunds

We do not offer refunds for partial months or annual periods, except where required by applicable law. If you cancel during a billing period, you retain access to the Service until the end of that period.

4.4 Taxes

Prices are exclusive of applicable taxes (VAT, GST, sales tax). You are responsible for all taxes imposed on your use of the Service by your applicable tax authority.

4.5 Failed Payments

If a payment fails, we will attempt to re-charge over a 7-day grace period. If payment remains unsuccessful, your account will be suspended. You will retain access to download your existing build files for 30 days after suspension.

5. Free Trial

We offer a 14-day free trial on paid plans. No credit card is required to start a free trial. At the end of the trial period, you must enter payment information to continue using paid features. We reserve the right to modify or discontinue the free trial offer at any time.

6. Acceptable Use

You agree not to use the Service to:

• Build apps that violate Apple App Store or Google Play Store policies
• Create apps containing illegal content, malware, spyware, or phishing material
• Infringe the intellectual property rights of any third party
• Collect user data without appropriate disclosure and consent
• Distribute apps that promote hate, violence, discrimination, or illegal activities
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Resell or white-label the Service except as permitted under the Business plan
• Use the Service in any way that violates applicable local, national, or international law

We reserve the right to suspend or terminate your account without notice if we determine, at our sole discretion, that you have violated these acceptable use terms.

7. Intellectual Property

7.1 AppsCart Property

The Service, including its code, design, trademarks, and content, is owned by AppsCart and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to use AppsCart's intellectual property except as expressly set out herein.

7.2 Your App

The compiled app build files (APK, AAB, IPA) generated by the Service are yours. Upon payment of applicable fees, AppsCart grants you a non-exclusive, royalty-free licence to use these build files to publish your app under your own developer accounts. This licence terminates if you cease to maintain an active paid subscription.

8. Your Content & Data

You retain full ownership of your website, content, data, and branding assets that you provide to AppsCart. By using the Service, you grant AppsCart a limited licence to process, display, and use your content solely for the purpose of providing the Service to you.

You are solely responsible for ensuring that your website and app content comply with all applicable laws, including consumer protection, data protection, and advertising standards.

9. Third-Party Services

The Service integrates with third-party services including OneSignal, Google Firebase, Stripe, Apple App Store, and Google Play Store. Your use of these services is governed by their respective terms and privacy policies. AppsCart is not responsible for the availability, accuracy, or conduct of any third-party services.

You are responsible for obtaining and maintaining any accounts, API keys, or credentials required for third-party integrations you enable within the Service.

10. App Store Compliance

You acknowledge that:

• App Store approval is determined solely by Apple and Google, not by AppsCart
• AppsCart provides guidance but cannot guarantee App Store acceptance of your app
• You are responsible for maintaining your Apple Developer account ($99/year) and Google Play account ($25 one-time)
• You must comply with Apple's App Store Review Guidelines, Google Play Developer Policy, and all applicable developer programme agreements
• AppsCart reserves the right to modify the Service to ensure generated apps can meet platform requirements, and such modifications may affect your app's appearance or functionality

11. Disclaimers & Limitation of Liability

11.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. APPSCART DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPSCART'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO APPSCART IN THE THREE MONTHS PRECEDING THE CLAIM OR (B) USD $100.

IN NO EVENT SHALL APPSCART BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

You agree to indemnify and hold harmless AppsCart and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) the content or functionality of any app you build using the Service.

13. Termination

13.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You retain access to the Service until then.

13.2 Termination by AppsCart

We may suspend or terminate your access to the Service immediately and without notice if: (a) you breach these Terms, (b) we are required to do so by law, or (c) we determine, at our sole discretion, that continued provision of the Service is not commercially viable.

13.3 Effect of Termination

Upon termination, your right to use the Service ceases. Your app build files remain available for download for 30 days after termination, after which they may be deleted. Published apps in the App Store or Google Play remain live until you remove them.

14. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to conflict of law provisions. Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in [Your City], [Your Jurisdiction].

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or prominent notice on the Service. Your continued use of the Service after the effective date of the changes constitutes your acceptance of the new Terms. If you do not agree to the changes, you must stop using the Service before the effective date.
